Forex licenses, asset management,
investment funds, invest consulting,
brokerage licenses, AML for investment
The Seychelles Securities Dealer License, which is often called the Seychelles Forex license, is an official permission issued by the Financial Services Authority (FSA). It grants companies the right to legally provide international brokerage and financial services, including online trading in currencies, CFD contracts, futures, as well as investment portfolio management services.
The Seychelles has for many years remained one of the most popular jurisdictions for Forex brokers. The reasons are obvious: a stable regulatory system, relatively fast license processing (usually 6–8 months), and low business launch costs. This is exactly why such well-known brokers as eToro, IC Markets, HotForex, and Tickmill were licensed here. This confirms the high level of trust in this jurisdiction.
What is a Forex License in the Seychelles
The Forex license of the Seychelles (the official name is the Securities Dealer License) is a comprehensive brokerage license issued in accordance with the Securities Act of 2007.
The Seychelles are deservedly considered one of the most convenient offshore jurisdictions for financial companies. A flexible legislation, favorable business conditions, and a low tax burden operate here. For example, the profit of licensed companies is taxed at a rate of only 1.5%, and revenues received outside the country are not subject to local income tax or VAT.
Another important advantage is the fast process of obtaining a license. In most cases, it takes about 6–8 months, making the Seychelles attractive both for fintech startups and for international investment companies.
The presence of a license means not only the legal right to work as a regulated Forex broker. It also significantly increases trust on the part of banks, payment systems, investors, and business partners.
What constitutes the Seychelles Securities Dealer License
The Securities Dealer License is an official permission issued by the Financial Services Authority (FSA) to companies planning to operate in financial markets.
It allows conducting activity with securities and investment products on the territory of the Seychelles or through this jurisdiction, acting both on one’s own behalf and on behalf of clients.
In accordance with the legislation, the concept of “securities” covers:
- shares;
- bonds;
- investment funds;
- derivative financial instruments (futures, options, CFDs, etc.).
In practice, such a license allows:
- providing Forex and CFD broker services;
- managing investment portfolios;
- advising clients regarding investments;
- offering other regulated financial services.
Obtaining this license is a mandatory requirement if the company is planning to operate as a broker or manage client funds in accordance with the legislation of the Seychelles.
Simply put, this is an official permission that gives the right to conduct the activity of a regulated Forex broker under the control of the FSA.
Who Needs a Forex License in Seychelles
The license is necessary for any company that plans to provide clients with services for trading currencies or other financial instruments and carry out activity using the Seychelles jurisdiction.
In particular, it is needed by:
- online Forex and CFD brokers;
- asset managers;
- investment advisors;
- fund management companies;
- other financial service providers working with international clients.
Many fintech companies choose precisely the Seychelles when they want to get the status of a regulated broker without the high costs and strict requirements characteristic of major financial centers.
In addition, international brokers frequently open a Seychelles company as an additional structure that complements their main license in another country.
Since the license allows working with clients all over the world (with the exception of individual jurisdictions for which a geographical restriction of access applies), it is especially popular among companies oriented toward the international market.
Types of activity a forex license in the Seychelles Allows
The Securities Dealer License covers practically all main areas of activity of a modern broker.
In particular, it allows:
- Forex and CFD trading — providing brokerage services in the currency market and the market of contracts for difference;
- market-making — providing liquidity by quoting purchase and sale prices of financial instruments;
- investment portfolio management and providing investment consultations;
- operations with securities — trading shares, bonds, and other financial instruments on both the primary and secondary markets;
- trading derivative instruments — futures, options, swaps, CFDs, and other derivatives;
- managed accounts — managing client trading accounts on a discretionary basis;
- acceptance of client funds within the framework of brokerage activity or trust management programs (without bank status).
In fact, one license gives the opportunity to run a full-fledged brokerage business. Unlike many other jurisdictions, in the Seychelles, it is not required to obtain separate permissions to work with Forex, CFDs, futures, or other derivative instruments — all this is covered by a single Securities Dealer License.
At the same time, the company must operate exclusively within the permitted types of activity. For example, banking or insurance services cannot be provided without a separate license. If the activity of the company is limited to brokerage, investment, and advisory services, as well as client fund management in accordance with the legislation of the Seychelles, these areas are fully covered by the license.

Advantages of a forex license in Seychelles
The Seychelles license is considered one of the most popular solutions for international brokers, fintech companies, and startups. Here are its main advantages.
Fast processing
Compared to most European and other offshore jurisdictions, the licensing procedure in Seychelles takes place quite quickly. If the document package is prepared correctly, preliminary approval can be obtained in about 6–8 months. The regulator is known for its openness to international business and understandable requirements.
Moderate Seychelles forex license cost of obtaining
Government fees remain relatively low: about 1,500 USD for a company license and another 500 USD for a representative license. Even when legal support, company formation, and other expenses are factored in, the total amount for the first year usually does not exceed 40,000 USD. This is significantly cheaper than in many countries in Europe or the USA.
Low capital and presence requirements
To obtain a license, it is sufficient to form a share capital of 50,000 USD and place these funds in a Seychelles bank account.
Physical presence requirements are also quite lenient: a registered office, a local director or representative, and a compliance officer are required. Most international companies can implement this without difficulty.
One license for different financial products
A securities dealer license permits operations across the Forex currency market, CFDs, futures, managed accounts, and other financial instruments. Additional permissions for each individual type of activity are not required.
Favorable tax environment
The tax burden in Seychelles is one of the lowest among popular jurisdictions.
Companies pay only 1.5% corporate tax, and income earned outside the country is often not subject to local taxation at all. There are also no capital gains taxes or withholding taxes on international transfers.
Stability of the offshore jurisdiction
Despite its offshore status, Seychelles has an internationally recognized financial regulator. An FSA license increases the trust of banks, payment systems, partners, and clients, as it confirms that the company operates in accordance with established rules and legislative requirements.
Disadvantages and Considerations
Despite numerous advantages, before choosing this jurisdiction, it is worth considering several features.
Less authority compared to leading regulators
For many international banks and financial partners, licenses from the UK, EU, or USA hold a higher level of trust.
Because of this, individual banks or liquidity providers may impose additional requirements on brokers with a Seychelles license. In addition, such a license does not allow direct operation in the markets of certain countries, specifically the USA, the UK, or France.
More attention to compliance
In recent years, the regulator has significantly tightened control over compliance with international anti-money laundering standards (AML/CFT).
Companies must regularly undergo inspections, submit financial statements, conduct audits, and maintain a real presence in Seychelles. This is not a license that can be obtained and then ignored.
Lower brand recognition
Although Seychelles is well known in the field of international financial licensing, it is less popular than regulators such as CySEC or FCA.
Therefore, companies sometimes must invest more resources into marketing, reputation, and the development of trust among international clients.
Types of Licenses in Seychelles
Seychelles issues two primary related license types for foreign brokers:
- Securities Dealer License (SDL): This is the main license for a brokerage company (an IBC) to conduct Forex and securities dealing business. It is granted to the company entity itself.
- Securities Dealer’s Representative License: This is a personal license for an individual who serves as the local representative or managing director of the SDL company. By law, the appointed Representative (often a director or senior manager) must hold this license too. The application for the Representative license is submitted together with the application for the Company’s SDL.
No separate license is required for different asset classes – one SDL covers all allowed activities. (Other financial licenses exist in Seychelles – e.g. for funds or insurance brokers – but they are outside the scope of a forex/brokerage license.)
Requirements for Obtaining a Forex License in Seychelles
To obtain a securities dealer license, a company must meet a number of established requirements.
Company registration
The first step requires the creation of an International Business Company (IBC) in Seychelles.
The share capital must be at least 50,000 USD, and these funds must be deposited into the company’s bank account before the license is granted.
It is also necessary to prepare and register constitutional documents, such as the articles of association, memorandum, and corporate registers.
Company management
The company must have at least two individual directors and may have one or more shareholders.
The same individuals may combine several corporate roles, provided that all applicable regulatory and fit and proper requirements are met. At least one director must be resident in Seychelles and employed by the company on a full-time basis.
Each director must satisfy the Seychelles Financial Services Authority’s fit and proper requirements and demonstrate education, professional qualifications, or experience appropriate to the proposed role.
Local representative
One of the directors or another qualified individual must obtain a separate Securities Dealer Representative License.
The candidate must hold an appropriate university degree or a recognized professional qualification and demonstrate at least two years of relevant experience in the securities industry.
The application for the representative license may be submitted together with the company’s application for a Securities Dealer License.
Compliance officer
The company must appoint a compliance specialist who resides in Seychelles.
This database expert is responsible for the execution of AML/KYC procedures, interaction with the regulator, and continuous monitoring of legal compliance.
Physical office
The licensee is required to maintain a physical office within the territory of Seychelles.
All corporate documents must remain there for regulatory inspections.
The use of a virtual address alone is not permitted.
Professional indemnity insurance
It is necessary to obtain a professional liability insurance policy for the directors and owners of the company.
The minimum coverage amount is approximately 3,000 USD and protects against possible financial losses due to professional errors or negligence.
Business reputation check (Fit & Proper Test)
All directors, shareholders, and key employees must undergo the Fit & Proper Test procedure.
The regulator verifies the absence of criminal records, financial reputation, bank references, and the source of funds.
It is also necessary to provide notarized copies of passports, proof of residential address, resumes, and other personal documents.
Business plan and internal documentation
The document package includes the business plan along with a financial forecast for at least three years.
In addition, the company must prepare internal policies and regulations, such as:
- company operating regulations;
- AML/KYC policy;
- compliance policy;
- conflict of interest policy;
- customer service agreement;
- complaint handling procedure.
A business continuity plan is also needed, as well as plans regarding other internal procedures.
Seychelles forex license costs and taxes
The main expenses associated with obtaining and further maintaining the license include:
- State fees (FSA). As of mid-2022, the application fee for a Securities Dealer license is approximately 1,500 USD, and for a Dealer’s Representative license — about 500 USD. Annual renewal costs approximately 3,000 USD and 750 USD respectively. These payments cover the validity of the license for one year.
- Registration and legal support services. The Seychelles forex license cost depends on the chosen provider. Comprehensive “turnkey” support — from company registration to document preparation and support during licensing — usually costs 10,000–20,000 USD. Registered office services, a local agent, and corporate bank account opening may be paid separately.
- Minimum share capital. The company must deposit 50,000 USD into its bank account in the Seychelles. This is not a license fee, but the company’s own capital, which confirms compliance with minimum financial requirements.
- Taxes. The license itself is not subject to additional taxes. The corporate tax rate is 1.5% of the licensee’s gross profit. Since income from international activity is considered earned outside the country, local business taxes or VAT usually do not apply to it. This allows most international forex brokers to retain a significant portion of net profit. For local activity, additional income taxes of 15–25% may apply, but for companies working exclusively with international clients, this is usually not relevant.
It’s worth mentioning other state payments, which are small annual registration and regulatory fees are also provided for. According to SBSB estimates, the total amount of state payments in the first year (including license fees) can be about 3,850 USD, which is significantly lower than in most European or Western jurisdictions.
Step-by-Step Licensing Process
Obtaining a forex license in the Seychelles takes place in several stages. In practice, many of them are performed in parallel, which allows reducing the overall processing time.
Company registration
The first step is creating a domestic company in the Seychelles. For this, all constituent documents (Memorandum of Association, Articles of Association, etc.) are prepared and submitted, after which a corporate bank account is opened to deposit the share capital. Usually, this stage takes 1–2 months.
Document preparation
In parallel, a full package of documents for licensing is formed, which usually includes:
- notarized copies of passports;
- proof of residential address;
- resumes of directors and shareholders;
- certificates of no criminal record;
- reference letters from banks;
- business plan;
- internal AML/KYC policies;
- client agreement and other internal documents.
At this same stage, an insurance policy is issued, and documents for appointing a local representative and compliance officer are prepared.
Submission of application to FSA
After completing the preparation, the package of documents is submitted to the Financial Services Authority (FSA) together with applications for Securities Dealer and Dealer’s Representative licenses. After paying the state fee, the regulator begins reviewing the documents. If necessary, the FSA may request additional explanations or documents.
Preliminary approval
If the application meets all requirements, the FSA issues a preliminary approval (Provisional Approval). Usually, this happens approximately 2–3 months after submitting the documents. At this stage, it remains to fulfill only the final local requirements.
Fulfillment of final requirements
After receiving preliminary approval, the company must:
- conclude an office lease agreement in the Seychelles;
- officially appoint a local representative and compliance officer;
- deposit share capital in the amount of 50,000 USD;
- issue and pay for an insurance policy.
Confirmation of fulfillment of these requirements must be provided to the FSA within the established period, which is usually 60 days.
Issuance of license
After fulfilling all conditions, the regulator issues official Securities Dealer License and Dealer’s Representative License. After paying the first annual license fee, the company receives the right to officially carry out brokerage activity.
Ongoing obligations and compliance for a Forex License in Seychelles
After obtaining the license, the company must constantly comply with the requirements of the Seychelles regulator. Below are the main duties.
Compliance with AML/KYC requirements
Licensees are obliged to implement effective procedures for anti-money laundering (AML) and client identification (KYC). This involves:
- verifying the identity of each client;
- monitoring financial transactions;
- reporting suspicious transactions to the regulator in accordance with Seychelles legislation.
Financial reporting
The company must:
- submit quarterly management reporting;
- annually prepare and submit audited financial statements.
No later than 30 days after obtaining the license, it is necessary to appoint an independent licensed auditor.
Regulatory reporting
The FSA must be notified of all significant changes in the company’s activity. This applies, in particular, to:
- change of directors;
- change of shareholders;
- change of ownership structure;
- change of business model.
It is also necessary to timely pay annual license and registration fees.
Corporate governance
The company must constantly maintain the relevance of corporate documentation:
- register of directors;
- register of shareholders;
- minutes of meetings;
- management decisions.
In addition, it is necessary to provide the actual presence of a local office and a compliance officer.
Annual license renewal
The Securities Dealer license is issued for a term of one year. For its renewal, the company must:
- submit an updated package of documents;
- pay the renewal fee (about 3,000 USD);
- provide financial information, if this is required by the regulator.
All formalities must be completed before the expiration of the license.
Non-compliance with regulatory requirements can lead to serious consequences. The FSA has the right to issue an official warning, impose a fine, temporarily suspend the license, or revoke it completely. Most often, such sanctions are applied in cases of fraud, significant violations of AML requirements, or carrying out activity without proper permission. That is why for the long-term and stable operation of a brokerage company, it is important to maintain an effective compliance system, regularly conduct internal reviews, and timely fulfill all requirements of the regulator.
Renewal and suspension
The securities dealer license in the Seychelles must be renewed every year. For this, before the expiration of its validity period, it is necessary to submit an application for extension and pay the corresponding fee to the regulator FSA. Currently, it amounts to 3,000 US dollars for a dealer license and 750 US dollars for a representative license.
Together with the application, updated documents are usually submitted, which confirm that the company continues to meet the requirements of the regulator. Among them are the latest audit opinion, proof of valid insurance, financial statements, and other compliance documents.
Untimely renewal of the license or non-compliance with regulatory requirements can lead to its suspension. In case of serious violations (for example, operating without the required share capital, non-fulfillment of AML requirements, or carrying out prohibited types of activity), the FSA has the right not only to suspend but also to revoke the license.
Because the official rules regarding the grounds for license suspension are described rather generally, most licensees maintain the most open communication possible with the regulator to maintain an impeccable reputation and avoid risks.
Updates and Recent Changes
As of 2025, the main regulatory act regulating the activity of licensed brokers in the Seychelles remains the Securities Act 2007, and supervision of its implementation is carried out by the Financial Services Authority (FSA).
In recent years, the licensing system has not undergone significant changes. At the same time, the country actively brings its financial legislation into line with international standards, in particular the FATF recommendations. Because of this, the regulator pays more attention to the actual presence of the business in the jurisdiction (substance), as well as compliance with requirements for anti-money laundering (AML).
Practice also indicates a slight increase in individual fees and a tightening of compliance requirements; however, the key advantages of the Seychelles (flexible regulation and a favorable tax regime) remain unchanged.
Companies are recommended to regularly track official announcements of the FSA, because the regulator may publish new clarifications or recommendations concerning fintech companies. At the same time, as of today, no new laws have been passed—for example, regarding fintech sandboxes or separate regulation of cryptocurrencies, that would significantly change the procedure for obtaining a securities dealer license.
Therefore, in 2025, the procedure for obtaining a license and the requirements for its holders generally remain the same as provided by the Securities Act and the official recommendations of the FSA.

FAQs About the Seychelles Forex License
What is a Seychelles Forex license?
The Seychelles Forex license, officially known as the Securities Dealer License, is an offshore regulatory authorization issued by the Seychelles Financial Services Authority (FSA). It permits companies to operate as licensed broker-dealers, offering trading services for currency pairs (Forex), CFDs, derivatives, securities, and portfolio management to international clients.
What are the primary benefits of choosing Seychelles?
The Seychelles license is widely favored by fintech startups and international brokerages for several reasons:
- Cost-Efficiency: It is a highly competitive jurisdiction with relatively low startup and maintenance fees compared to European or US licenses.
- Tax Advantages: Licensees benefit from a low corporate tax rate of just 1.5% on gross profits, with no onshore VAT or profit tax on foreign-sourced income.
- Streamlined Licensing: The regulatory framework is “fast-track,” with a clear and business-friendly application process that typically takes 6 to 8 months.
- Comprehensive Coverage: A single Securities Dealer license covers a wide array of financial activities, including Forex, CFD, and futures trading, without requiring separate permits for each product line.

To secure and maintain the license, applicants must meet specific regulatory standards set by the FSA:
- Local Substance: You must incorporate a local entity (IBC) and maintain a registered office in the Seychelles.
- Local Personnel: The company is required to appoint at least one local resident director and a designated on-site compliance officer.
- Capital Adequacy: A minimum authorized capital of USD 50,000 must be deposited into a Seychelles bank account.
- Compliance Framework: Licensees must implement robust internal policies for Anti-Money Laundering (AML) and Know Your Customer (KYC) procedures.
What are the ongoing obligations for a license holder?
Maintaining the license requires active regulatory compliance, including:
- Reporting: Submission of quarterly management accounts and annual audited financial statements to the FSA.
- AML/KYC Compliance: Ongoing monitoring of client activity, identity verification, and reporting of suspicious transactions.
- Corporate Governance: Maintaining up-to-date corporate records and ensuring that any material changes to the company structure are reported to the regulator.
