What Documents Are Needed for the Application?
If an entity participates as a Forex operation and virtual asset service provider in Costa Rica, a mandatory AML registration is required to provide such services. To apply for it, a company should prepare the following documents:
- an application for authorisation written in Spanish;
- corporate incorporation and identification documents;
- compliance policies, including AML/KYC policies;
- publication in the Gazette;
- information on the company’s shareholders and management;
- information about the facilities from which the business will operate.
The above documents are submitted to Superintendencia General de Entidades Financieras (SUGEF), which operates as a self-governing supervisory body reporting directly to the Central Bank of Costa Rica. This registration is required for anti-money laundering and counter-terrorist financing supervision under Law No. 7786.
How Does the Licensing and Company Setup Process Work?
In Costa Rica, to operate in the Forex market, first, an entity must make a reservation of a company name, develop a draft of the Articles of Association, make a publication in the Gazette, and register as a financial services provider, choosing an option (S.A. or S.R.L.).
When incorporation of a selected business form is completed through the Costa Rica National Registry, it is time to register for tax and submit for the appropriate operating authorisation.
Even though there is no dedicated Costa Rica FOREX broker license regulation, authorisation is mandatory. To successfully obtain it, a financial company must have a physical registered office in Costa Rica, at least one director who can be a non-resident, and AML/KYC policies with documented procedures. Once authorised, the company should open a bank account.
